The Opportunity
An exciting opportunity is available for a Governance Officer to join the Legal team at Burnet!
In this role you will Support the Company Secretary in the delivery of company secretarial services for Burnet Institute's (?Burnet?) Board, sub-Committees, and Executive Council.
Deliver high-quality company secretarial and corporate governance support, facilitating Burnet's corporate governance processes and having responsibility for ensuring that the Board and Sub-Committee processes run efficiently and effectively.
You will also:
- Arrange and coordinate Board and Committee meetings and attendances.
- Assist in the preparation, review and circulation of Board and Committee papers, agendas, minutes and proposed resolutions.
- Administration and maintenance of the online Board portal (Diligent).
- Record declarations, conflicts of interest and treatment plans, gifts and gratuities in accordance with Burnet's policies and procedures.
- Ensure compliance with Burnet's Board and Committee charters, code of conduct and governance policies and procedures.
- Preparing and controlling the Annual General Meeting (AGM) in collaboration with the Company Secretary.
- Assist with the implementation of best practice corporate governance initiatives, projects, and policies.
- Maintain registers and review cycles and ensure requisite retention of documents and records.
- Ensure completion of regulatory filings and lodgements on a timely basis.
- Ensure adherence to Burnet's Constitution.
- Staying updated with relevant Australian legislative changes and rules associated with corporate entity management, advising Burnet accordingly.
- Assist the Company Secretary in ensuring compliance with statutory and regulatory requirements.

Let's talk about you
The following criteria are essential requirements:
- Minimum 2 years' experience in a corporate secretariate role, with solid knowledge of board governance, ASIC and ACNC requirements and Corporations Act compliance.
- Strong knowledge of Microsoft Office suite.
- Great attention to detail, organizational skills and ability to manage competing priorities.
- Experience working effectively with Boards and/or Board Committees and delivering outcomes collaboratively with the Company Secretary and members of the executive team.
The following are preferable/desirable but not essential:
- GIA, AICD or similar qualifications.
- Experience with Diligent Boards (or similar online portal).
