One of Volaris Group’s most dynamic, fast-growing, and boldest portfolios, the Omegro Portfolio, is looking for a dynamic leader for its APAC legal team. The team support acquisitions and businesses based across Canada, the US, Asia, and the Pacific. As the leader of a small legal team, you will be responsible for a range of corporate (M&A) and commercial work, and your contributions will have direct impact on the businesses you support.

Role

You will lead a small legal team supporting the operational needs of the Omegro APAC, including numerous technology businesses and M&A activities. While working within the Volaris governance framework, you will have a high level of autonomy and the opportunity to take a lead in how our businesses lead the industry while managing risk.

Duties

The role will lead both operational and transactional (Mergers & Acquisitions) areas. This means that, at any time, you are likely to be working on the following:

• Reviewing/negotiating customer-facing contracts, including software-as-a-service agreements, master service agreements and professional services agreements (whether on vendor, or customer paper) and contract management

• Reviewing and advising on legal terms related to RFP submissions

• Reviewing/negotiating supplier contracts, ranging from mission-critical suppliers to standard form customer contracts

• Supporting advisory work on a range of business-related areas, such as intellectual property protection (as relevant to software companies), corporate administration, employment law matters, data privacy and compliance matters

• Helping legal operations run smoothly, including contract management, developing training materials, writing policies/procedures, and ownership of related workflows and systems

• Negotiating transactional NDAs ahead of an acquisition

• Leading legal due diligence, negotiating terms, drafting/reviewing relevant documents, and undertaking legal integration

There is scope for the role to reflect the unique experiences and skill set to best suit the successful candidate.

Team & workplace

You will be a key member of a small remote legal team. You will interact directly with the businesses that your team supports, which are located across Canada, the US, Asia, and the Pacific. Your stakeholders comprise emerging and experienced businesspeople, who will look to you and the team for relevant, timely and practical advice. They are focused and forward thinking, and value similar qualities in their legal team.

Requirements

The role is an in-house legal leadership role, so you will need to hold a law degree and be permitted to work as a solicitor in your jurisdiction. A minimum of 10 years’ experience is required, with significant experience being in-house. The role can be performed remotely from either Australia or New Zealand, requiring you to have the right to work within that country, and additionally the ability to travel domestically and internationally occasionally.

Desired skills

Our ideal candidate would be able to demonstrate the following:

• Ability to lead in a dynamic and autonomous environment

• Good understanding/experience in commercial and corporate law in your jurisdiction

• Understanding/experience in privacy laws and data security

• Experience in IT, software, and technology law within an in-house environment would be highly beneficial

• Experience of software licensing contracts, together with SaaS, IaaS, PaaS etc.

• Skills consistent with 10+ years post-qualification experience.

• Experience in all stages of M&A transactions

• An interest in the business implications of technology trends such as cloud hosting, AI, etc would be highly regarded

Desired aptitudes

The role would be suited to someone with good business acumen who can work remotely, independently and juggle multiple priorities. The ability to quickly adjust to different priorities is important as is the ability to execute consistently on business-as-usual tasks. The role will require pragmatic and efficient decision making whilst being considerate of risk.

Strong leadership, interpersonal and communication skills to facilitate internal and external collaboration across multiple jurisdictions and stakeholders will be critical to success.
