The Opportunity

We are seeking a qualified and experienced Company Secretary (ANZSCO 221211) to

join our leadership team. This is a full-time, permanent position based in Kewdale,

Western Australia.

Key Responsibilities

 Provide comprehensive secretariat support to the Board of Directors, including

preparing agendas, briefing papers, and detailed minutes.

 Advise the Board and shareholders on corporate governance, compliance

obligations, and best practice reporting.

 Maintain effective communication between the Board, shareholders, and senior

management, ensuring transparency and accountability in decision-making.

 Prepare and lodge statutory filings with ASIC and other regulators.

 Ensure accurate record-keeping of company registers, resolutions, and

shareholder agreements.

 Support shareholder engagement, including the preparation of annual general

meetings, shareholder communications, and reporting.

 Monitor corporate risk management and internal control frameworks.

 Liaise with external auditors, regulators, legal advisors, and stakeholders within

the Tyrepower franchise network to ensure compliance and alignment with

group-wide governance expectations.

 Assist in policy development, business planning, and support franchise

compliance requirements.

Required Qualifications and Skills

 Bachelor’s degree or higher in Law, Business, Commerce, or a related field.

 Minimum 3 years of relevant post-qualification employment as a Company

Secretary or in a corporate governance role.

 Strong knowledge of the Corporations Act, ASIC requirements, and Australian

corporate governance frameworks.

 Demonstrated experience engaging with Boards, shareholders, and franchise

networks.

 Excellent written and verbal communication skills, with the ability to prepare

clear governance documentation.

 Proven ability to manage competing priorities and deliver timely, accurate

outcomes.

Desirable

 Previous experience within the automotive, retail, or franchising industry.

 Membership of Governance Institute of Australia or similar professional body.
