The Opportunity
We are seeking a qualified and experienced Company Secretary (ANZSCO 221211) to
join our leadership team. This is a full-time, permanent position based in Kewdale,
Western Australia.
Key Responsibilities
Provide comprehensive secretariat support to the Board of Directors, including
preparing agendas, briefing papers, and detailed minutes.
Advise the Board and shareholders on corporate governance, compliance
obligations, and best practice reporting.
Maintain effective communication between the Board, shareholders, and senior
management, ensuring transparency and accountability in decision-making.
Prepare and lodge statutory filings with ASIC and other regulators.
Ensure accurate record-keeping of company registers, resolutions, and
shareholder agreements.
Support shareholder engagement, including the preparation of annual general
meetings, shareholder communications, and reporting.
Monitor corporate risk management and internal control frameworks.
Liaise with external auditors, regulators, legal advisors, and stakeholders within
the Tyrepower franchise network to ensure compliance and alignment with
group-wide governance expectations.
Assist in policy development, business planning, and support franchise
compliance requirements.
Required Qualifications and Skills
Bachelor’s degree or higher in Law, Business, Commerce, or a related field.
Minimum 3 years of relevant post-qualification employment as a Company
Secretary or in a corporate governance role.
Strong knowledge of the Corporations Act, ASIC requirements, and Australian
corporate governance frameworks.
Demonstrated experience engaging with Boards, shareholders, and franchise
networks.
Excellent written and verbal communication skills, with the ability to prepare
clear governance documentation.
Proven ability to manage competing priorities and deliver timely, accurate
outcomes.
Desirable
Previous experience within the automotive, retail, or franchising industry.
Membership of Governance Institute of Australia or similar professional body.
