Position Title: Legal Counsel
Industry: Renewable Energy / Legal
Location: Sydney
Salary: $160,000 – $200,000 + Super
Key Responsibilities
- Assist with front-end legal matters related to the development of new projects and expansion of existing assets.
- Review, draft, and negotiate a wide range of commercial contracts in line with procurement policies, legal best practices, and applicable case law.
- Advise on energy regulatory issues and assist in resolving compliance-related matters.
- Review and advise on EPC contracts, NDAs, and other project-related legal agreements.
- Support the preparation and lodgment of FIRB applications.
- Provide sound legal advice on compliance with corporate and commercial obligations.
- Partner with internal stakeholders to identify legal risks and develop practical mitigation strategies.
- Assist with compliance in project investment and internal control frameworks.
- Take and maintain accurate board meeting minutes; assist with documentation and corporate governance processes.
- Support or assist the Company Secretary function, including ASIC lodgments and board governance tasks (preferred).
- Perform other related legal and compliance duties as required.
Key Measurables
- Attention to Detail: Accuracy and thoroughness in contract drafting, review, and regulatory documentation.
- Contract Management: High-quality and timely review, negotiation, and execution of commercial agreements.
- Regulatory & FIRB Compliance: Ensuring legal support aligns with evolving energy and investment regulatory requirements.
- Legal Risk Management: Effective identification, communication, and resolution of legal and compliance risks.
- Governance & Secretariat Support: Efficient support for board and governance processes, contributing to corporate compliance.
Key Requirements
- Bachelor of Laws (LLB) or Juris Doctor (JD) with a current Australian practicing certificate.
- Minimum 3–5 years of post-qualification experience, ideally in renewable energy, infrastructure, or commercial practice.
- Demonstrated experience in commercial contract drafting, review, and negotiation.
- Outstanding attention to detail and ability to manage complex legal documentation with precision.
- Sound knowledge of Australian corporate and regulatory frameworks, including FIRB and energy sector regulations.
- Experience with board governance, board minutes, and Company Secretarial support (preferred).
- Excellent interpersonal, communication, and stakeholder management skills.
- Ability to work autonomously and collaboratively in a dynamic, high-growth environment.
