The Opportunity
IBN is governed by a Board of 6 traditional owners and 2 independent directors. It has a complex governance structure, is the owner of various subsidiaries and proactively manages corporate risk.
As Legal Counsel, using your experience working in different areas of the law, you will be responsible for providing comprehensive legal support to the executive team and the Board across the organisation on a wider range of matters. These will include:
corporate governance and compliance
not for profit / trust law
contracting – including drafting and negotiating commercial, employment, funding and other agreements
internal policies and procedures and employee relations
dispute resolution and litigation
You must be able to communicate your advice and recommendations effectively and succinctly in a way that is tailored to the audience and enables decision-makers to be confident they are making informed choices with an acceptable risk profile. You will support business units, and subsidiaries, with legal insights on commercial transactions and other broader activities.
As an Executive, you will be a key decision-maker within the organisation, influencing corporate strategy, implementation and organisational culture. You will be involved in managing risk as well as developing, implementing and reviewing strategy.
The Role
The role will be responsible for providing comprehensive legal support including:
Legal advice: providing legal advice to the executives and Boards on the various legal issues affecting the business, including seeking, managing and presenting advice from external lawyers as required.
Contract negotiation: overseeing the drafting, review, and negotiation of contracts and agreements entered into by IBN
Corporate governance: advising on matters related to corporate governance and ensuring compliance with applicable laws and regulations
Compliance: ensuring that the company complies with relevant laws and regulations in its operations and business activities
Risk Management: identifying and managing legal risks that the company may face and implementing strategies to mitigate those risks.
Employee relations: providing legal guidance on employment-related matters, including contracts, policies, and disputes.
Litigation Management: overseeing any legal disputes and appearing on behalf of IBN / instructing counsel
Due Diligence: Providing advice and review during the process of exploring mergers, acquisitions or partnership opportunities
Coordinating with external lawyers including briefing out and presenting external advice
Developing a system for sorting, cataloguing and managing previous and current legal advice
Additional duties will include:
Working collaboratively across the organisation, strong relationship-building and communication
Participating in strategic planning and policy development and implementation
Liaising with internal and external stakeholders to manage expectations and deliver on organisational goals
Contributing to the organisation's leadership through mentorship and guidance, fostering a collaborative work environment
Contribute to the development and improvement of WHS and risk management initiatives and practices in the workplace
Other duties as required
The Requirements
Essential
At least 5 – 10 years of legal practice and current legal practising certificate (or ability to obtain)
Experience working in most, or all, of the following areas: commercial, property, contract, corporate governance and regulation, not for profit – charity and trust, tax, and native title.
Ability to quickly analyse and research complex questions and provide succinct and plain language advice tailored to the audience that provides a clear and practical path forward.
Experience working with Aboriginal people and understanding Aboriginal Australian cultures.Experience successfully appearing on behalf of corporate clients in Court, mediation and negotiations.
Experience successfully seeking, contract managing and presenting advice from subject matter legal experts.
Experience creating systems for cataloguing and retrieving historical and current legal advice.
Demonstrated ability to identify and implement strategic responses to recurring problems.
Desirable
Native Title and Indigenous Cultural Heritage experience highly favourable.
Appointment requirements
National Police Check (no older than 6 months and renewed every 3 years)
Valid Western Australian Driver’s Licence (not Learner’s permit)
Able to travel and work throughout Western Australia according to business needs
