Position summary

We are seeking a motivated corporate and commercial lawyer with 3 to 7 years PAE to join our thriving team in our Burleigh Heads office. We are advertising as a full-time role, however it can be part-time to suit family commitments. The level for the position (Associate 1 to Senior Associate 1) will depend on the level of experience brought to the role.

Working closely with one of our Directors, you will have carriage of exciting work for a great book of clients, including:

• capital raising (via debt and equity);
• preparation of due diligence in anticipation of business exit;
• share or business sales and acquisitions; and
• corporate governance.

Key responsibilities

• Lead and manage share and business sales and acquisitions;
• review and draft commercial contracts;
• advise clients on compliance with the UFCT regime, the Australian Consumer Law and the Privacy Act;
• carriage of monitoring scope and fee estimates for matters; and
• develop early career lawyers.

About you

Our ideal candidate:

• capital raising;
• the preparation of complex shareholder deeds;
• the review and negotiation of commercial contracts;
• employee share schemes;
• business and share sales and acquisitions;
• advising clients on business structures and restructures; and
• the preparation of employment and contractor agreements,

• has experience in all or most of the following:
• is proactive with strong organisation skills;
• holds a current Queensland practising certificate;
• is self-driven with a drive for continuous improvement; and
• is a team player, demonstrating reliability and trustworthiness.
