Lawyer, Corporate & Commercial

SWS Lawyers has a position available for a Lawyer / Associate level lawyer with 2 – 5 years’ post admission experience who possesses excellent analytical, negotiation and drafting skills. You will enjoy working on a wide range of corporate and commercial matters including sale and purchase transactions, shareholder and joint venture arrangements, capital raising and corporate law advice.

About the SWS corporate and commercial law team

The Corporate & Commercial law team at SWS is the most recognised specialist team in the Hunter Valley and is led by two principals and supported by two very experienced consultants. All of these lawyers have more than 25 years’ experience. One Principal specialises in M&A, capital raising and corporate advisory, while the other has expertise in contracts, commercial law, IP and family business matters.

The team advises listed and private companies, boards, shareholders and in-house legal teams on corporate, commercial, finance, contract, intellectual property, consumer and privacy law. Its members routinely work on:

· M&A and capital raising transactions;

· Trust and structuring matters;

· Contracts and procurement projects;

· Regulatory matters (ASIC, ACCC, FIRB);

· IP commercialisation, privacy and IT projects;

· Governance and advisory work; and

· Consumer law (advice, product recall and compliance) issues.

We get involved in the type of M&A and transactional work typically found in a capital city law firm. Our lawyers consistently complete several transactions a year for clients throughout Australia and for in-bound foreign investors, with transaction values ranging from $10m to $200m, including transactions that have been recognised by international M&A awards.

Other recent work has included pre-IPO and seed capital fundraising for start-up and early-stage clients; roll up and exit transactions for PE fund and PE investee company clients; private treaty M&A and restructure transactions; and substantial restructure and dispute-driven disposal transactions. We have worked on major deals for businesses in the mining, transport and logistics, manufacturing, construction and engineering, technology and FMCG sectors, professional and financial services and health sectors, among other industries.

About You

The right candidate will:

· have 2-5 years’ PAE in general corporate and commercial law;

· have worked in a transactional services legal team;

· have exceptional attention to detail;

· be relocating “home” to Newcastle or wanting expert training in a regional centre; and

· be motivated to progress within the firm.

Our lawyers work directly with principals and other team members and receive excellent coaching and mentoring from these highly experienced and respected specialist lawyers. We look for team players who love coming to work, are flexible, honest and real in everything they do. We would value candidates who can articulate what their next 5 years of practice will look like.
