The Role
As a Senior Commercial & Corporate Lawyer at Allied Legal you will:
Key Responsibilities:
Lead High-Impact Client Engagements: Work closely with some of Australia’s most innovative startups, building relationships with founders, executives, and key stakeholders to understand their challenges and deliver tailored legal solutions.
Venture Investment Transactions: Advise on venture capital structures, including SAFEs, convertible notes, venture debt, and Series A/B+ funding rounds, ensuring legal frameworks align with the fast-paced growth of startups.
Litigation & Dispute Resolution: Oversee various suite of litigious matters flowing from our commercial clients.
M&A and Exit Strategies: Oversee mergers, acquisitions, divestments, and strategic partnerships, guiding startups through complex transactions and helping them scale effectively while achieving key growth milestones.
Commercial Agreements: Draft, negotiate, and manage crucial agreements such as SaaS contracts, licensing agreements, data protection policies, and supplier agreements, ensuring clients' interests are protected while enabling business growth.
Corporate Governance & Structuring: Provide expert advice on governance, scaling strategies, and regulatory compliance, helping startups build a solid foundation for long-term success in Australia’s evolving business landscape.
Employee Incentive Structures: Develop and advise on employee stock option plans (ESOPs), employee share schemes (ESSs), and profit-sharing models to attract and retain top talent in the competitive startup market.
Client Relationship Management: Act as a trusted legal advisor to founders and C-suite executives, ensuring their businesses remain legally compliant and strategically sound as they grow.
Business Development: Contribute to the firm’s expansion by identifying new client opportunities, securing new business, and further cementing Allied Legal’s position within the startup ecosystem across Australia.
Mentorship & Team Development: Lead and mentor junior lawyers, fostering a collaborative, creative, and growth-focused culture that continually raises the bar for legal excellence.

What We’re Looking For:
4+ Years of Experience in corporate, commercial, litigation or M&A law, with a proven track record of handling complex legal transactions.
Leadership Skills: Demonstrated ability to mentor and guide junior lawyers, fostering a collaborative and growth-oriented team culture.
Business Development Acumen: Proven ability to win and manage client relationships, contributing to firm growth and success.
Exceptional Communication & Negotiation: Strong interpersonal skills to engage effectively with founders, executives, and investors.
Tech-Savvy: Comfortable working with legal tech tools and modern workflows, enhancing efficiency and streamlining processes.
Commitment to Excellence: Passion for delivering strategic, commercially focused legal advice that drives client success.
