ABOUT OUR COMMUNITY

Yugul Mangi Development Aboriginal Corporation (YMDAC) was established on 10 April 2008 to develop the social, economic, governance and cultural wellbeing of the Ngukurr community.

Our aim is to strengthen cultural governance authority, social and community development services that improve individual, family and community social and emotional wellbeing and build a sustainable viable local economy creating full employment, career pathways and an end to generational welfare dependence.

Through community led decision-making YMDAC deliver a large array of social programs and develops business to provide services in Ngukurr returning the surpluses back into the community. YMDAC promotes the growth of community owned enterprises, Joint Venture Partnerships and supports local business development, within the remote Aboriginal community of Ngukurr, (320km East of Katherine) and its surrounding areas.

We are seeking an experienced Corporate Secretary to provide expert governance advice and support the Board of Directors and the Chief Executive Officer. You will ensure compliance with the Corporations Act 2001 (Cth) the ACNC governance standards, and YMDAC’s policies and procedures. This role involves overseeing the Board administration, regulatory compliance, risk management and governance best practice.

OUR IDEAL CANDIDATE WILL HAVE:

Knowledge of company secretary responsibilities-including and understanding of the role as well as legal, ethical, fiduciary, and financial responsibilities involved.

Strategic expertise with the ability to differentiate between operational and strategic matters, to review the strategy constructively and openly, and contribute to the effective decision making of the Board.

Accounting and Finance, the ability to read and comprehend the company accounts, financial material presented to the Board, financial reporting requirements and some understanding of corporate finance.

Legal, the Boards responsibility involves overseeing compliance with numerous laws as well as understanding the individual Directors and Officers legal duties and responsibilities.

Risk Management, Experience in managing areas of major risk to the company.

Managing people and achieving change-experience in current management thinking on engagement branding, strategic vision, and stakeholder communication; experience in executive remuneration and compensation.

Industry and company knowledge-experience at the company, in the industry and any other experience relevant to the Boards composition.

Practical experience in company administration, governance, or organisational compliance (not-for-profit sector experience highly regarded.

Strong knowledge of the Corporations Act 2001 (Cth) and the Australian Charities and Not -for-Profit Act 2012 (Cth)

Ability to communicate governance and legal requirements effectively to executives and board members.

A MUST HAVE:

Tertiary qualifications in law, governance, or a related field (Governance institute if Australia membership desirable).

Northern Territory Working with Children Clearance (Ochre Card).

National Police Criminal History Report (less than three months old) with acceptable outcome.

Northern Territory Driver’s License (or willingness to obtain within agreed timeframe).

Demonstrated currency of pandemic and job specific vaccinations (and boosters).

Demonstrated commitment to work respectfully and inclusively with Aboriginal and culturally and linguistically diverse people.
